Website and Trust Center Terms
1. About these terms
These terms apply to your use of:
- the website at allora-health.com, including its subdomains and pages, except the Trust Center, the clinician portal and the patient app (together, "the website"); and
- the Trust Center at trust.allora-health.com, a password-protected site where we share security, data protection and compliance information with organisations considering or using Allora (the "Trust Center").
The website and the Trust Center are run by Allora JD Health Ltd ("Allora", "we", "us", "our"), a company registered in England and Wales, company number 17282768, with its registered office at 18 Tennyson Avenue, Twickenham, England, TW1 4QY. "Allora" is a trading name of Allora JD Health Ltd.
By using the website or the Trust Center, you agree to these terms. If you do not agree, please do not use them.
Other terms apply to Allora's products:
- patients using the Allora app agree to the Patient Terms of Use;
- clinics agree to the Clinic Terms of Service, and their staff to the Portal User Terms;
- how we use personal information is explained in our Privacy Policy.
If you use the website or the Trust Center on behalf of an organisation, you confirm that you are allowed to accept these terms on its behalf, and "you" includes that organisation.
2. Information only, not medical advice
The website describes Allora: software that clinics, pharmacies and GP practices use to schedule, collect, organise and show their patients' information. It is for general information.
- Nothing on the website is medical advice. Do not use it to make decisions about your own health or anyone else's. If you have a question about your health or a treatment, speak to a doctor, pharmacist or other registered healthcare professional. In an emergency, call 999. For urgent help that is not an emergency, call NHS 111.
- Allora does not provide healthcare. Allora does not diagnose, prescribe, supply or give medical advice. The clinics and pharmacies that use our software, and their registered clinicians, make every decision about their patients' care.
- Allora's position is that its software is not a medical device. Apart from draft notes for a clinician to check after a video call, it stores, organises and shows information exactly as entered or received. It does not interpret, analyse, score, flag, triage or prioritise patients, and it does not make or suggest decisions about diagnosis, treatment, dosing or prescribing. The intended purpose is set out in full in the Clinic Terms of Service.
- Some features described on the website are still being built. The website describes the service we offer and are building. Not every feature described may be available yet, and features may change. What a clinic receives is set out in its own agreement with us, not on the website.
- No reliance. We try to keep the website accurate and up to date, but we do not promise that it is complete, accurate or current. Figures and sources quoted on the website are given for context and may change. Please check anything important with us before you rely on it.
3. Medicines
Prescription-only medicines may not be advertised to the public in the United Kingdom. The website is written for healthcare organisations and investors, not to promote any medicine.
- Where the website mentions a medicine, a class of medicine or a peptide, it does so to describe the clinical setting in which Allora's software is used. It is not an advertisement, an offer or a recommendation of that medicine, and it is not a claim that any product is safe or effective.
- Allora does not sell, supply or dispense any medicine, and the website is not a way to obtain one.
- Unlicensed products are described as unlicensed. Allora makes no claim about their safety or effectiveness.
If you think anything on the website does not meet these standards, please tell us at hello@allora-health.com and we will review it.
4. The Trust Center
Who it is for
The Trust Center is for organisations that are considering using Allora, that use Allora, or that work with us as partners or investors, and for their advisers. We give access by sharing a password.
Keep the password and the content confidential
The material in the Trust Center, including our policies, registers, assessments and security information, is confidential information of Allora. We share it so that you can assess and manage your relationship with us. By signing in, you agree that you will:
- use the material only to evaluate Allora, or to manage your use of Allora or your relationship with us;
- share the password and the material only with people in your organisation, or advisers acting for you, who need them for that purpose and who are bound to keep them confidential;
- not publish the material, pass it to anyone else, or copy it into anything shared outside your organisation, without our written permission;
- tell us straight away at hello@allora-health.com if you believe the password or the material has been shared with someone who should not have it.
These obligations do not apply to information that is already public through no fault of yours, that you already lawfully had, or that you must disclose by law (in which case, where the law allows, please tell us first).
If you have signed a confidentiality agreement with us, that agreement also applies, and it takes priority if it conflicts with this section.
No commitment unless it is in a contract
The Trust Center describes how we work at the date shown on each page. It is information, not a contractual promise. Our commitments to a clinic are only those in its signed agreement with us, including the Clinic Terms of Service and their Data Processing Agreement. We update the Trust Center as things change, and each page shows its version and date.
Access and sign-in records
- We may change the password at any time, for example when we review who has access. Changing it signs everyone out, and we will give the new password to the people who still need it.
- We may refuse or end anyone's access at any time, for example if we believe these terms have been broken.
- When you sign in, the Trust Center sets strictly necessary cookies that keep you signed in, and records your IP address and a session reference in our security logs, including for failed attempts. We use these records to protect the Trust Center from misuse. Our Privacy Policy lists each cookie and how long it lasts, and explains how long we keep the logs.
- Do not try to get around the password, test the Trust Center's security, or access it by automated means. If you think you have found a security problem, please tell us at safety@allora-health.com.
5. Intellectual property
The website and the Trust Center, including their text, design, graphics, logos, diagrams and software, belong to Allora or to the people who license them to us. They are protected by copyright, trade mark and other laws.
You may view them, and print or download extracts for your own use or, for the Trust Center, for the purpose set out in section 4. You must not:
- copy, change or republish any part of them for any other purpose without our written permission;
- remove any copyright or other notice;
- use the Allora name or logo, or anything confusingly similar, without our written permission;
- use any part of them for commercial purposes, or to train or build a competing product.
Photographs and third-party material on the website belong to their owners and are used with permission.
6. Links
The website and the Trust Center may link to other websites, such as regulators, sources we quote or the services we use. We do not control those websites and are not responsible for their content, their availability or how they use your information. A link is not an endorsement.
You may link to the home page of the website, as long as you do so fairly and lawfully and do not suggest any association with Allora that does not exist. You must not link to the Trust Center or frame any part of the website or the Trust Center on another site.
7. Our responsibility
We provide the website and the Trust Center free of charge, for information.
- What we do not limit. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow us to limit or exclude.
- If you are a business, and subject to the paragraph above, we exclude all implied conditions, warranties and representations about the website and the Trust Center to the extent the law allows, and we are not liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising from your use of, or inability to use, the website or the Trust Center, or your reliance on any of their content. In particular, we are not liable for loss of profits, sales, business or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation, or any indirect or consequential loss. Any commitment we make to a clinic is in its own agreement with us, which sets out our liability to it.
- If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We only provide the website for domestic and private use: we are not responsible to you for any loss of profit, business or business opportunity. If defective digital content that we supplied damages a device or digital content belonging to you, we will either repair the damage or pay you compensation, where the law requires us to.
- Availability and security. We do not promise that the website or the Trust Center will always be available, uninterrupted or free from errors or viruses. We may suspend, change or withdraw them at any time. Please use your own virus protection.
8. Changes to these terms
We may change these terms at any time, for example to reflect changes to the website or the law. Every version is numbered and dated, and past versions and what changed between them are published on the website. The version in force when you use the website or the Trust Center is the one that applies. Please check this page from time to time.
9. General
- Which law applies. These terms, and any dispute or claim arising from them or from your use of the website or the Trust Center, including non-contractual disputes or claims, are governed by the law of England and Wales.
- Courts. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts.
- If part of these terms is invalid, the rest stays in force.
- Nobody else has rights under these terms. Only you and Allora can enforce them.
- If we do not enforce a right straight away, we can still enforce it later.
